Terms of service
These terms are an agreement between Formwork Software Limited, a company registered in England and Wales (company number 15640273, registered office 167-169 Great Portland Street, 5th Floor, London, England, W1W 5PF), trading as Mavatu (“we”, “us”), and the organisation that signs up for Mavatu (“you”). They apply to the Mavatu apps at app.mavatu.com and everything that comes with them (together, the “Service”).
By creating a workspace, or by using the Service on behalf of an organisation, you accept these terms and confirm that you are authorised to accept them for that organisation. If you don’t agree to them, don’t use the Service.
1. Who Mavatu is for
The Service is for businesses and other organisations. It is not offered to consumers, and you confirm that you are not using it as a consumer. Each person who uses the Service must be at least 18.
2. Your workspace and your users
- You create a workspace and invite people (“Users”) to it. You are responsible for who you invite, for what they do in the Service and for keeping their sign-in details secure.
- Each User needs their own account. Accounts may not be shared between people.
- Tell us straight away at hello@mavatu.com if you think an account has been used without permission.
3. Price and payment
- The Service costs £10 per User per month, plus VAT where it applies, unless we’ve agreed a different price with you in writing. Every User in your workspace counts.
- We bill monthly in advance. When you add Users during a month, we charge for them from the day they’re added; when you remove Users, the change applies from your next monthly bill.
- You authorise us, and Stripe, our payment provider, to charge your payment method on each billing date. Subscriptions renew automatically each month until cancelled. If a payment fails, we may suspend the Service until it’s paid.
- Fees are not refundable, including for partly used months and for Users removed during a month, except where section 10 says otherwise or the law requires a refund.
- If you think a charge is wrong, tell us within 30 days of it.
4. Changes to prices, plans and the Service
- We may change our prices, change or withdraw any plan, and change, add or remove features of the Service, at any time and for any reason.
- We’ll tell you about a price change by email, and it applies from your next billing date after the notice period stated in our email. If you don’t accept a change, you can cancel before it takes effect.
- Continuing to use the Service after a change takes effect means you accept it.
5. Fair use policy
Your plan includes unlimited use of the Service: unlimited projects, tasks, deals, contacts, file storage and history. “Unlimited” means as much as your organisation genuinely needs for its own work, in the normal way a team uses work software. To keep the Service fast and fair for everyone, the following fall outside fair use:
- using the Service as general file storage, a backup service or a way to host or distribute files
- automated or bulk activity well beyond what your Users could do by hand, including scraping, load testing and high-volume use of our API or AI connections
- sharing one User’s account between several people, or reselling or giving access to the Service to anyone outside your organisation
- anything that puts an unreasonable load on our systems or affects other customers’ use of the Service
If we think your use goes beyond fair use, we’ll normally contact you first and ask you to reduce it. We may also limit the affected part of the Service, ask you to move to a plan or price we agree with you, or suspend or end your subscription under section 10.
6. Acceptable use
You must not, and must make sure your Users don’t:
- break the law, or use the Service to store or share content that is unlawful, infringing, harmful, abusive or misleading
- send spam or unsolicited marketing, or contact people who have asked not to be contacted
- upload malware, or try to get around the Service’s security, limits or access controls
- probe, scan or test the Service’s security without our written permission
- copy, reverse engineer or build a competing product from the Service, except as the law allows
7. Your data
- You own your data. Everything you and your Users put into the Service (“Customer Data”) stays yours. You give us permission to host, copy and process it only as needed to provide, secure and support the Service.
- You’re responsible for it. That includes having a lawful basis, and giving any notices required, for the personal data of the people you keep in the Service, such as your contacts in the Directory and CRM.
- Storage. We store Customer Data in a data centre in London, UK.
- Data protection. For personal data in Customer Data, you are the controller and we are your processor. The data processing terms in section 15 apply and form part of these terms.
- Export. You can export your data from the Service while your subscription is active.
8. Third-party services
Some features use services run by others, only when you or your Users turn them on or use them: for example, connecting an AI app such as Claude or ChatGPT, contact pictures from Gravatar and company logos from Google, and notifications delivered through Apple’s, Google’s or Mozilla’s push services. When you use them, the relevant data is sent to that provider at your direction, and their terms apply to how they use it. We’re not responsible for third-party services.
9. Availability and support
We work hard to keep the Service available and secure, but we don’t promise that it will be uninterrupted or free of errors. We may need to take it down for maintenance, and we’ll try to give notice of planned work. Support is available in the app and by email at hello@mavatu.com.
10. Cancellation, suspension and ending a subscription
- You can cancel at any time in your workspace’s billing settings. Your subscription ends at the end of the billing period you’ve paid for.
- We may suspend or end your subscription immediately, by notice, if you break these terms (including the fair use and acceptable use policies), don’t pay what you owe, or if we have to because of the law or to protect the Service or other customers.
- We may also end any subscription at any time, for any reason, by giving you notice by email. If we do this when you haven’t broken these terms, we’ll refund any fees you’ve paid for the period after it ends.
- After a subscription ends, your access stops. We keep your Customer Data for 90 days so you can ask us for an export, then delete it, except where the law requires us to keep it. Copies in our backups are deleted within a further 30 days.
11. Our intellectual property
We, and our licensors, own the Service and everything in it apart from Customer Data, including the Mavatu name, logo and mascot. These terms give you a right to use the Service while your subscription is active, and no other rights. If you send us feedback, we may use it freely.
12. Confidentiality
Each of us will keep the other’s confidential information confidential and use it only for the purposes of these terms, except where the law requires otherwise.
13. Liability
- Nothing in these terms limits or excludes liability for death or personal injury caused by negligence, for fraud or fraudulent misrepresentation, or for anything else that cannot be limited or excluded by law.
- Apart from that, the Service is provided “as is”, and we exclude all warranties and conditions not set out in these terms, to the extent the law allows.
- Neither of us is liable to the other for loss of profit, revenue, business, goodwill or anticipated savings, or for any indirect or consequential loss.
- Our total liability to you under or in connection with these terms is limited to the fees you actually paid us for the Service in the 12 months before the event giving rise to the claim, or £100 if you have not paid us anything.
- We are not liable for the loss, corruption or unavailability of data, including Customer Data, beyond our obligations to keep it secure and backed up under section 15.
- You’ll compensate us for any claims, losses and costs arising from Customer Data or from your or your Users’ breach of sections 5 or 6.
14. Changes to these terms
We may change these terms at any time. We’ll post the new version here and tell you by email about changes that matter. They take effect from the date we give, and continuing to use the Service after that means you accept them.
15. Data processing terms
These terms apply where we process personal data in Customer Data on your behalf, as required by Article 28 of the UK GDPR.
- Subject and duration. We process personal data to provide the Service, for as long as your subscription lasts and until it’s deleted under section 10.
- Nature and purpose. Hosting, storing, organising, displaying and transmitting Customer Data, as the Service’s features require.
- Types of data and people. Whatever you and your Users put into the Service. Typically names, contact details, job titles and messages about your Users and the people you work with.
- Deletion timing. We delete Customer Data 90 days after your subscription ends, and from backups within a further 30 days.
- Your instructions. We process the data only on your documented instructions (these terms and your use of the Service), unless the law requires otherwise, in which case we’ll tell you unless the law forbids it.
- Confidentiality. Everyone who processes the data for us is bound by confidentiality.
- Security. We take appropriate technical and organisational measures to protect the data, including encryption in transit, access controls and regular backups.
- Sub-processors. You authorise the sub-processors listed in our privacy policy. We’ll tell you before adding or replacing one, and you can object. Each is bound by data protection terms equivalent to these.
- Transfers. Customer Data is stored in the UK. If a sub-processor processes it outside the UK, we make sure appropriate safeguards are in place, as UK data protection law requires.
- Helping you. We’ll help you, as reasonably needed, to respond to requests from people exercising their rights and to meet your obligations on security, breach notification and data protection impact assessments.
- Breaches. We’ll tell you without undue delay after becoming aware of a personal data breach affecting Customer Data.
- Audits. We’ll make available the information reasonably needed to show that we meet these terms.
16. General
- Assignment. You may not transfer these terms without our written consent. We may transfer them to a company in our group or to a buyer of our business.
- Events beyond our control. We’re not responsible for delays or failures caused by events outside our reasonable control.
- Entire agreement. These terms, and any written agreement between us that refers to them, are the whole agreement between us about the Service.
- Severability and waiver. If any part of these terms is found unenforceable, the rest still applies. Not enforcing a right straight away doesn’t mean giving it up.
- Third parties. No one else has rights under these terms under the Contracts (Rights of Third Parties) Act 1999.
- Notices. We’ll send notices to the email address of your workspace’s owners. Send notices to us by email at hello@mavatu.com, or by post to our registered office.
- Law. These terms are governed by the law of England and Wales, and the courts of England and Wales have exclusive jurisdiction.
